1. HX Explorers program membership

1.1 Membership in the HX Explorers program (the “Program”) is an agreement between HX Group Ltd and the individual member (the “Member’). Membership in the Program is created by registering a personal profile and giving consent. Consent includes the HX general privacy terms and the specific membership conditions of the Program.

1.2 Membership is on an individual basis. Every Member receives their own personal membership number. It is not permitted for one person to have more than one HX Explorers member profile. The membership is registered in the Member’s full name together with the personal email address of the Member. The minimum age for membership is 18 years. Only natural persons can become a Member. The use of membership for commercial purposes is not permitted.

1.3 HX aims to continually expand the scope of member benefits and will regularly launch new benefits, as well as develop and change existing benefits and the Program as a whole. Some benefits will also be of a time-limited nature and others may be removed at HX’s discretion without prior notice or compensation.

1.4 Any discounts on HX excursions and other travel arrangement are subject to availability and only for future bookings. HX’s standard terms and conditions relating to such bookings will apply, such as cancellation, payment terms and changes to the booking or itinerary. Certain onboard benefits may be provided subject to availability and operating restrictions including compliance with local laws. No cash equivalent refund, credit or alternative benefit or compensation will be provided for any unavailable products or services that are not separately charged for.

1.5 Through the Program, Members can receive discounts and offers from third party suppliers to the Program (“Program Partner”). Any supply of products or services from a Program Partner is a contractual arrangement between the Member and the Program Partner. HX is not a party to such supply arrangement and is not responsible for and accepts no liability for its performance including any errors or omissions in the products or services purchased from Program Partners. However, Members who experience any problems with a Program Partner, must inform HX of this.

1.6 Only registered Members are entitled to use the membership. Membership and the associated benefits are personal and not transferable. HX Explorers benefits only apply to the individual specified as the Member unless otherwise stated.

1.7 Members can cancel their membership at any time. This cancellation is completed electronically via a separate cancellation form or by the withdrawal of consent referred to in clauses 1.1 and 1.2. No cash equivalent refund, credit or compensation will be provided in respect of such cancelled membership for any loss of benefits under the Program whether accrued or not. A former Member may subsequently re-join the Program subject to its terms, but no account will be taken or credit given in relation to any prior membership of the Program including any prior tier criteria. In effect their membership will be reset to the Program’s lowest entry level and any previous benefits or entitlements will not apply.

1.8 HX reserves the right to approve, reject, suspend or terminate membership at any time, for any reason, or for no specific reason, at its own discretion. No cash equivalent refund, credit or compensation will be provided in respect of such suspended or terminated membership for any loss of benefits under the Program whether accrued or not.

1.9 Without prejudice to the above provision, any breach of these membership terms and conditions, misuse of the membership, or barring from travel with HX, gives HX the right to terminate the Member’s membership with immediate effect. Such suspended or terminated membership may result in the loss of benefits under the Program whether accrued or not.

1.10 At its discretion, HX may at any time, increase or decrease the number of tiers of membership and/or change the organisation, structure, name and benefits relevant to such levels.

1.11 Subject to clause 1.12 below, base level tier membership benefits and offers are applicable from time of membership registration and higher-level tier membership benefits and offers are applicable from the time of upgrade.

1.12 No membership benefits or offers may be claimed retrospectively by claiming a benefit that a Member was entitled to, but which was not claimed at the time even if entitled to do so (regardless of whether travel has taken place or not). Any benefits or offers relating to HX bookings (including discounts for voyages and excursions or onboard amenities and benefits) shall only apply if the membership is notified to HX at the time of the booking and as applicable to the relevant membership level tier at the time of the booking (regardless of whether travel has taken place or not).

2. HX Membership Tiers

2.1 There is no charge to sign up to the base level membership tier. When a Member signs up to the Program they will automatically be assigned Bronze tier status. Higher level membership tiers and some existing and future member benefits may require the purchase of HX products and services or only be released through such purchases. Subsequent membership levels are based on the accumulation of points earned by the Member in accordance with the Program (“HX Explorer Points”).

2.2 Bronze Members are assigned 0 HX Explorer Points. Bronze Members are eligible to become Silver Members after accumulating 100 HX Explorer Points, Silver Members will become Gold Members after accumulating a further 250 HX Explorer Points (350 HX Explorer Points in total). Gold Members will become Platinum Members after accumulating a further 150 HX Explorer Points (500 HX Explorer Points in total).

3. HX Explorer Points

3.1 Each Program tier is based on the accumulation of points earned by the Member (“HX Explorer Points”). HX Explorer points earned are non- transferrable under any circumstances.

3.2 HX Explorer Points are valid from 7 years from the date of issue to the Member. Members will be notified of expiry at least 30 days prior of the expiry date.

3.3 HX Explorer Points may take up to 30 days to be added to a Member’s account. HX Explorer Points earned as part of/whilst onboard a cruise will be issued to the Member’s account within 30 days of disembarkation.

3.3 Subject to clause 3.4, HX Explorer Points can be earned by completing activities as designated by HX. The table below provides a summary of eligible activities that permit a Member to accumulate HX Explorer Points. The accumulation of points is subject to the conditions at clause 3.4.

  • Eligible Cruise Nights:

- Earn 10 points per night for each night travelled onboard an HX cruise in a Polar Inside, Polar Outside, Arctic Superior Cabin, or Explorer Cabin.

- Earn 15 points per night for each night travelled onboard an HX cruise in an Expedition Suite or Darwin Suite.

  • Onboard Spend:

- Earn 5 points for every 250 EUR spent whilst onboard.

  • Green Night Stays:

- Earn 1 point per night, per person in a cabin whilst onboard.

  • Polar Plunge:

- Earn 5 points per plunge.

  • Completion of University of Tasmania (UTAS) Antarctic Course (“UTAS Course”):

- Earn 5 points per course completion.

  • Attendance of a Live Webinar or In-Person Event Held by HX:

- Earn 5 points per webinar or event.

  • HX Newsletter Sign-Up:

- Earn 5 points.

3.4 The following conditions apply:

Cruise Nights

Eligible Cruise Nights do not include certain reduced cruise fares such as HX employee business travel fares and other cruises as may be designated by HX in its sole discretion.

Pre and post cruise land programs and hotel stays do not qualify as Eligible Cruise Nights.

A guest may retrospectively claim Cruise Night Points only if they sign up as a Member within 6 months of the date of disembarkation. No other HX Explorer Points may be claimed retrospectively if the guest was not a Member at the time of booking a qualifying expedition.

Onboard Spend

HX Explorer Points are issued for every 250 EUR (net of taxes) spent onboard a cruise by a Member. The transaction may be made by cash or card.

Onboard spend/credit issued by HX and gratuities do not count toward the Onboard Spend amount.

Green Night Stays

Members must display their Green Night Stay placard on the door hook outside of their cabin/suite to be eligible for HX Explorer Points.

Each Member in a cabin/suite is eligible to earn HX Explorer Points for Green Night Stays.

Polar Plunge

Only one Polar Plunge per cruise, per Member, is eligible to be counted toward the accumulation of HX Explorer Points.

The HX onboard team will record the completion of the polar plunge by a Member. It will be at the discretion of the onboard team to advise whether a polar plunge has been completed for the purposes of the accumulation of HX Explorer Points.

Completion of UTAS Course

UTAS will provide HX with confirmation of all Members who have completed the UTAS Course. HX will then credit HX Explorer Points to the Member account.

Attendance of a live webinar or in person event held by HX

Members must register online and attend at least 75% of the live webinar in order to accumulate HX Explorer Points.

HX will monitor Member attendance for the purposes of the accumulation of HX Explorer Points.

A maximum of 20 HX Explorer Points can be earned through the attendance of live webinars or events over a 12-month period.

HX Newsletter sign up

Members must sign up to the to the HX Newsletter with the email address that is associated with their HX Explorers account.

4. Program Benefits

4.1 By signing up to the Program, Members may receive certain benefits (“Member Benefits”). Member Benefits are awarded on a per person basis, with the exception of booking related benefits (5% discount on excursions, 5% discount on future bookings, Always on Price Promise, Always On Booking Flexibility and Complimentary Room Upgrades) which are awarded on a per cabin basis.

4.2 Member Benefits may vary across vessels and are subject to availability.

4.3 Once a Member Benefit is selected and used, it cannot be exchanged unless authorised by HX. Requests for Member Benefit exchanges will be at the sole discretion of HX.

4.4 Member Benefits available at each membership tier are as follows and are subject to the conditions stated at clause 4.5. Member Benefits may also be subject to additional terms.

4.5 The following conditions apply:

5% Discount on excursions

The discount does not apply to pre/post cruise land programs.

The discount applies to any optional excursion whilst onboard. The discount can be applied to all guests staying in the cabin/suite with the Member.

Welcome cocktail upon embarkation

Members are entitled to a complimentary ‘Melonberry sour’ cocktail, to be redeemed within the first two days of the cruise. The cocktail can be redeemed at the Explorer or Panorama Lounge and Bar.

Members must be 21 years and older to receive this Member Benefit.

Members can choose to substitute the Melonberry sour cocktail with a non- alcoholic version.

Access to Loyalty and Future Cruise Manager Onboard

Not available on Galapagos sailings.

5% discount on future expeditions on HX

Members can save an extra 5% on a future cruise booking. The discount is valid on Tour Code components of the booking only (voyage, flights and hotels included in the offer price). Discounts do not apply to optional components sold separately to the Tour Code, including international flights, optional excursions, optional pre/post tour offerings, insurances, additional accommodation, and optional arrival and departure packages and transfers.

This offer is redeemable online and via the HX contact centre when the Members membership details are quoted. This discount can be applied on a per cabin basis. This discount is combinable with other HX offers, unless specified otherwise.

Behind the scenes vessel tour

The tour is not available on Galapagos sailings.

The tour is subject to operational availability on all other vessels.

Complimentary laundry

Complimentary laundry is not available on Galapagos sailings.

Gold and Platinum Members travelling in a Polar outside, Polar inside, Artic Superior cabin and Expeditions Suite, are eligible to have up to two laundry bags of clothing laundered, at no cost, for each week onboard.

Gold and Platinum Members travelling in an Expedition Suite are eligible for an additional laundry bag of clothing laundered per day, at no cost, whilst onboard.

Complimentary Spa Treatment

Complimentary Spa Treatment is only available on Amundsen and Nansen sailings.

Platinum Members are eligible for a 25-minute complimentary massage of their choice whilst onboard.

The massage must be booked by the Member with the HX spa team within the first two days of embarkation.

Complimentary printed photobook

Platinum Members are eligible to redeem a complimentary photobook of their voyage. Within 14 days of disembarkation, Members will receive an email with instructions on how to redeem the photobook supplied by our Program Partner.

Members will be subject to the terms and conditions of the Program Partner.

Always on Price Promise

Platinum Members will have access for the HX Price Promise for the duration of the time that they remain a Platinum Member.

This Member Benefit is subject to the HX Price Promise Terms and Conditions.

Always on Booking Flexibility

Platinum Members at the time of a booking, who want to make a change to a Tour Code component of a cruise will not be charged a change fee if the change is made up to 90 days of departure.

Changes to optional excursions, pre/post tours, insurances, additional accommodation, domestic flights where the airline charges a reticketing fee, transfers, international arrival and departure flights, arrival and departure packages and group bookings are excluded.

Complimentary Room upgrade

Subject to availability, Platinum Members are eligible for a complimentary room upgrade up to 30 days prior to embarkation.

HX will contact and notify the Member to inform of the upgrade.

5. Privacy

5.1 Membership can only be entered into if consent is given to electronic and postal marketing, and requires the Member to provide their name, address, email address and other compulsory personal data at the time of registration. The Member accepts that HX will register personal data and use it to manage its own member database, and for communication purposes. HX will not share personal data with any third parties. In order to send out HX campaigns to Members, HX shares customer data with mailing houses. These companies are not permitted to share personal data with anyone else.

5.2 HX is the data controller for Members’ personal data. The privacy policy explains how HX collects, uses, and presents personal data.

5.3 We use advertising networks such as Google, Facebook, Instagram and Twitter. Your contact details and other relevant data we have registered about you may be delivered to these service providers. We use these kinds of service providers to show you exclusive, tailored, and relevant advertisements, offers, and recommendations and to conduct analyses and develop our services.

5.4 By signing up, Members consent to regularly receive information about their current membership status, new Program offerings, membership benefits and offers from HX and our partners. This consent can be withdrawn at any time, but this will cancel their membership in the Program.

6. General terms and conditions

6.1 Program membership and its benefits are offered at the sole discretion of HX and we reserve the right to change or cancel the Program or parts of it at any time.

6.2 HX also reserves the right to change existing terms and conditions at any time. The terms and conditions will be shown on HX website as revised from time to time. If the Member does not wish to accept any revised terms and conditions, the Member can unsubscribe from the Program. A Member’s continued participation in the Program (including accessing or obtaining any Member Benefits of the Program) following the posting of revised terms and conditions, will indicate acceptance of the changes.

6.3 HX has the right to transfer the membership and/or to duplicate the membership and transfer each duplicate membership (in each case with the associated rights and obligations of such membership or duplicate membership under the terms of this agreement) to another company within the HX Group or any former group company demerged, transferred or publicly listed following a relevant corporate event provided that such transferee continues to operate a HX brand. For example, this may occur as part of a restructuring process and may result in such brands developing separate and distinct loyalty program for their respective duplicate memberships. The terms of such loyalty program may in the discretion of each relevant brand, allow for certain benefits to be honoured between each loyalty program.

6.4 HX is not responsible for any personal data that the Member themself shares with or provides to a third party including HX’s partners providing products and services directly to Members under this Program.

6.5 It is the Member’s responsibility to treat their log-in details, such as their username and password, as confidential. The Member is responsible for not providing such information to any third parties. Any transactions carried out using the Member’s log-in information shall be considered to have been approved by the Member. HX does not take responsibility for any transactions conducted through misuse of or unauthorised access to the Member’s log-in information. In the event of any suspected or actual misuse, the Member themself must contact HX as soon as possible to stop or prevent any misuse.

6.6 Any questions or disputes regarding the eligibility for the Program will be resolved by HX in its sole discretion. HX will not be liable for refunds or damages resulting from failure to deliver any of the Member Benefits.

6.8 HX provides the Program "as-is" and in conjunction with third party Program partners who provide products and services under a direct contractual relationship with Members, accordingly to the fullest extent permitted by applicable law, we expressly disclaim any warranties of any kind, whether express or implied, including but not limited to, warranties of merchantability, fitness for a particular purpose, design, accuracy, capability, sufficiency, suitability, capacity, completeness or availability of such products and services.

6.9 Nothing in these terms and conditions is intended or shall be construed to create or establish any agency, partnership or joint venture relationship between HX Group Ltd (and any other HX group company) and the Program partners.

6.10 These terms and conditions and any dispute or claim arising out of or in connection with them or their subject matter are governed by and construed in accordance with the law England and Wales.
